The Board of Directors

The Board of Directors is collectively responsible for the general management of the Company, except for adoption of decisions that fall within the exclusive competence of the General Shareholders’ Meeting, and is accountable to the shareholders.

The Board sets the strategic objectives for the Company and ensures that the necessary resources are in place to enable these objectives to be met. Key strategic decisions are authorised by the Board which is mindful of the interests of the Company Shareholders.

The Board has the authority to decide matters such as determination of the Company’s business priorities, approval of material transactions, setting targets for the Company's management and overseeing delivery thereof, the convening of annual and extraordinary General Shareholders’ Meetings, except in circumstances set out in the Joint Stock Companies Law and the Company’s charter, issue of the Company’s bonds and other securities, as provided for by the Joint Stock Companies Law and other issues, as provided for by the Joint Stock Companies Law and the Company’s charter. Currently, the Board of Directors consists of 11 members, of which 10 non-executive.

The Board of Directors convenes at least four times a year, in accordance with the adopted schedule. Board decisions are adopted by a three quarters majority vote of the elected members. Each director has one vote.

Sergei Evtyikov

Born in 1952. Holds a degree in Construction and Road-Building Machinery from Leningrad Civil Engineering Institute ((1975), and a degree in Law from St. Petersburg Law Institute under the General Prosecutor's Office (2000). D.Sc. in Engineering, Professor.

Current position:
Head of Department of Ground Transport and Production Machinery at St. Petersburg State University of Architecture and Civil Engineering.

Maria Karelina

Born in 1966. Degrees in Automobiles & Tractors from the Moscow Auto-Mechanical Institute (1988) and in Jurisprudence from the Moscow Federal Border Service Military Academy (2000). Candidate of Technical Sciences, Doctor of Education.

Professional experience:
1991 – present: Moscow Automobile and Road Construction State Technical University (MADI).
Until 2012: lecturer at the Machine Parts and Mechanisms Theory Department;
2012 – present: Head of the Machine Parts and Mechanisms Theory Department;
Before 2016: Vice Rector for Academic and Educational work.

Vladimir Kotylevsky

Holds a degree in Waterway and Port Engineering and Construction from Moscow V. Kuibyshev Engineering and Construction Institute (1973).

Professional experience:
Current position: SGM-Most LLC CEO. Previously (since 1973) held various positions at Mostotrest PJSC, including as Head of Mostotrest Industrial Engineering and deputy head and Chief Engineering Officer at a regional Mostotrest division.

Andrei Struk

Born in 1970. Holds a degree in Bridge and Tunnel Construction from Moscow Road Construction Institute (1996).

Professional experience:
Has held various positions at PJSC Mostotrest since 1996, including as Head of Construction, Head of Engineering Design at Mostootryad-18, a Moscow-based Mostotrest PJSC division.
In 2008, was appointed MOSTOTREST PJSC Deputy CEO for Sochi Region. In 2015, was appointed Mostotrest Deputy CEO and Head of Production.

Oleg Tanana

Mr. Tanana graduated from the Belarusian State University of National Economy and holds a degree in economics and social planning.

Mr. Tanana has served as Deputy CEO for Economics and Finance since 2006. Prior to joining the Group, he was Director for Economics and Finance of Kolomna Plant Holding Company and of JSC Balance-Oil.

Born in 1979 in Dubna. Degree in Economics from St. Petersburg Economics and Finance State University (2001). MBA (Financial Management) from the Higher School of Commerce of Ministry for Economic Development and Trade of Russian Federation (2006). Masters degree (Strategic Management) from the Russian Peoples’ Friendship University (2007).

Professional experience:
GDV Management, Head of Transport Construction and Infra- structure Department.
